1. INTRODUCTION AND ACCEPTANCE

Welcome to Berri. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Berri, based in New Delhi, India ("Berri", "we", "us", or "our") governing your use of the Berri desktop application for macOS ("Software" or "Application").

By downloading, installing, or using Berri, you agree to be bound by these Terms. If you do not agree to these Terms, do not install, access, or use the Software.

1.1 Eligibility

You must be at least 16 years of age (or the age of legal majority in your jurisdiction) to use Berri. By using Berri, you represent and warrant that you have the legal capacity to enter into these Terms under applicable law.

1.2 Scope of Application

These Terms apply to:

  • The Berri desktop application for macOS
  • Any updates, upgrades, or modifications to the Software
  • Any future features or services we may offer
  • Both free and paid versions of the Software

1.3 Additional Terms

Certain features or services may be subject to additional terms and conditions, which will be presented to you at the time of use. Those additional terms are incorporated into these Terms by reference.


2. LICENSE MODELS

2.1 Freemium Model

Berri operates on a freemium model with two tiers:

Free Tier:

  • Available at no cost for unlimited duration
  • Includes core functionality with certain limitations:
  • Up to 5 pinned modules
  • 1 custom website
  • Core features (clipboard history, notes, screenshots, screen capture)
  • No incognito mode
  • Requires no payment or credit card information
  • May display upgrade prompts and information about premium features

Lifetime Tier (Premium):

  • Requires one-time purchase of a license for full functionality
  • Unlocks all features and removes limitations:
  • Up to 12 pinned modules
  • Up to 12 custom websites
  • All core features
  • Incognito mode included
  • Priority support

2.2 Desktop License (Lifetime)

Upon purchasing a lifetime license and subject to your compliance with these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable, worldwide license to install and use the full version of Berri Software for your personal and commercial use.

2.3 License Scope

One User, Two Devices:

  • The license is granted to one natural person only (not a team, family, or organization).
  • You may install and activate Berri on up to two (2) macOS devices that you personally own or control at the same time.
  • If you replace or dispose of a device, you must uninstall Berri from that device (or deactivate the license via any in-app mechanism we provide) before activating Berri on a new device.
  • You may not share your license, login credentials, or license key with any other person, including family members, friends, or colleagues.

Perpetual / "Lifetime" License:

  • Your "lifetime" license is perpetual for as long as:
  • Berri exists as a product, and
  • Your operating system version is supported by Berri.
  • "Lifetime" does not guarantee compatibility with all future operating system versions or devices.

2.4 Permitted Uses

You may use Berri for:

  • Personal productivity and organization
  • Commercial use (business, freelance, enterprise work)
  • Creating, storing, and managing content (notes, clipboard items, screenshots, files)
  • Accessing websites and third-party services through Berri's browser features

2.5 Restrictions

You agree NOT to:

  • Resale or Distribution: Resell, rent, lease, sublicense, distribute, or transfer the Software or your license to any third party.
  • Reverse Engineering: Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent such restriction is prohibited by mandatory applicable law.
  • Competitive Use: Use the Software to develop, build, or operate a competing product or service.
  • Circumvention: Bypass, disable, or circumvent any license activation, digital rights management (DRM), security features, or feature limitations of the Software.
  • Modification: Modify, adapt, translate, or create derivative works based on the Software.
  • Unauthorized Access: Access or use the Software in any manner that could damage, disable, overburden, or impair our servers or networks.
  • License Sharing: Share your license key, account credentials, or access with any other person, including family members, friends, or colleagues.

2.6 License Activation

  • Your license is tied to the email address or account you used at purchase.
  • We reserve the right to limit the number of concurrent activations and to deactivate licenses that violate these Terms.
  • We may deactivate licenses associated with fraudulent purchases, chargebacks, or abuse.

2.7 License Transfer

Your license is non-transferable. You may not transfer, sell, or gift your license to another person, except:

  • In the event of your death, your license may be transferred to your legal heir or estate, subject to our verification process.

3. ACCOUNT AND PAYMENT TERMS

3.1 Lifetime License

Definition of "Lifetime":

  • "Lifetime" means for the duration of Berri's existence as a product.
  • "Lifetime" applies to supported operating system versions only. We are not obligated to support obsolete or deprecated macOS versions indefinitely.
  • We may discontinue Berri with reasonable notice (minimum 90 days).

What "Lifetime" Does NOT Mean:

  • It does NOT guarantee free access to all future features, major upgrades, or new products.
  • It does NOT guarantee indefinite technical support or compatibility with future OS versions.

3.2 Future Features and Services

We may introduce optional features or services in the future that may require additional payment, such as team licenses or premium support plans.

Important:

  • Your existing lifetime license is not affected by future pricing changes.
  • New optional features or services may require additional payment and will be subject to separate terms.

3.3 Payment Processing

  • Payments are processed through our third-party payment processor, Dodo Payments.
  • You are responsible for any currency conversion fees, bank charges, or transaction fees imposed by your payment provider.
  • All prices are in USD (or the currency displayed at checkout) and may be subject to applicable taxes.

3.4 Price Changes

  • We reserve the right to change the price of Berri at any time.
  • Price changes do not affect existing customers who have already purchased a license.
  • We will provide reasonable notice of price changes on our website or marketing channels.

3.5 Failed or Disputed Payments

  • If a payment fails, is disputed, or is reversed (chargeback), your license will be automatically revoked.
  • To restore access, you must resolve the payment issue and contact our support team.
  • Fraudulent or abusive payment behavior (e.g., repeated chargebacks under different accounts) will result in permanent suspension without refund.

4. FEES AND REFUNDS

4.1 Fees

  • The free tier is available at no cost.
  • You agree to pay the one-time license fee displayed at the time of purchase (the "License Fee") for the lifetime tier. Prices may change for future purchases, but any change will not affect a license you have already bought.

4.2 14-Day Refund Policy (Change of Mind)

We want you to be happy with Berri. If you decide that Berri is not for you:

  • You may request a refund within 14 calendar days of your original purchase date.
  • Refunds under this Section 4.2 are for any reason ("change of mind"), but:
  • Apply only to your first license purchase of Berri.
  • Do not apply to subsequent purchases by the same individual (e.g., using a different email or payment method).

To request a refund, contact us at support@berri.in with:

  • The email address used for purchase, and
  • Proof of payment (e.g., receipt or transaction ID).

If your refund is approved, we will:

  • Deactivate your license key; and
  • Process the refund to your original payment method within a reasonable period, subject to your payment provider's processing times.
  • Your account will revert to the free tier.

4.3 No Refunds After 14 Days

After 14 calendar days from your purchase date:

  • License fees are non-refundable, except where a refund is required by applicable law.
  • Updates, bug fixes, or new versions do not extend or restart the 14-day refund period.

4.4 Breach of Terms – No Refund

If we terminate or suspend your license because you have violated these Terms (see Section 11):

  • You are not entitled to a refund, even if your purchase was made within the 14-day period.
  • The 14-day refund policy in Section 4.2 applies only to voluntary cancellations by you, not to terminations for breach.

4.5 Statutory Rights

Nothing in this Section 4 limits any mandatory consumer rights you may have under the laws of your country of residence. Where such laws give you additional refund or withdrawal rights, those rights will apply.


5. ACCEPTABLE USE POLICY

You agree to use Berri in compliance with all applicable laws and these Terms. Specifically, you agree NOT to:

5.1 Prohibited Conduct

(a) Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent permitted by applicable law (e.g., for interoperability purposes under EU law).

(b) Remove, alter, or obscure any proprietary notices (copyright, trademark, etc.) in the Software.

(c) Rent, lease, lend, sell, sublicense, or distribute the Software or your license key to third parties.

(d) Use the Software to violate the intellectual property, privacy, or other legal rights of others.

(e) Use the Software to transmit malware, viruses, or other harmful code.

(f) Circumvent, disable, or interfere with security features of the Software, including license validation mechanisms, encryption, access controls, or feature limitations.

(g) Use the Software in any manner that violates applicable laws directly related to your use of the Software, including laws governing data privacy, computer fraud, intellectual property, or export controls.

(h) Use automated scripts, bots, or other tools to abuse or overload our license validation or update servers (if applicable).

(i) Impersonate Berri or misrepresent your affiliation with Berri in any communication.

(j) Use Berri for any illegal, fraudulent, or malicious purposes, including but not limited to:

  • Hacking, phishing, or unauthorized access to systems
  • Distributing malware, viruses, or harmful code
  • Violating intellectual property rights of others
  • Harassment, stalking, or threatening behavior
  • Child exploitation or any illegal content

(k) Use Berri to bypass paywalls, content restrictions, or terms of service of third-party websites.

(l) Automate scraping, data extraction, or mass downloading from third-party services in violation of their terms.

(m) Use Berri to develop, train, or operate a competing product, service, or AI model.

Enforcement:

Violation of this Acceptable Use Policy may result in suspension or termination of your license as described in Section 11 (Termination).


6. SOFTWARE UPDATES AND MAINTENANCE

6.1 Updates

  • We may provide updates, patches, and bug fixes to Berri at our discretion.
  • Updates may add new features, improve performance, fix bugs, or enhance security.
  • Automatic updates are enabled by default but may be disabled in settings.
  • We are not obligated to provide updates indefinitely.

6.2 User Responsibility

  • You are responsible for keeping Berri updated to the latest supported version.
  • We may discontinue support for outdated versions without notice.
  • Technical support may be limited or unavailable for older versions.

6.3 Major Upgrades

  • We may release major upgrades or new editions of Berri (e.g., "Berri 2.0").
  • Your lifetime license does not automatically entitle you to free major upgrades.
  • Major upgrades may be offered at a discounted price for existing customers or may be included at our discretion.

6.4 Operating System Support

  • We support recent versions of macOS as determined by Apple's official support policies.
  • We are not obligated to support outdated or deprecated macOS versions indefinitely.
  • If we discontinue support for your macOS version, we will provide 90 days' notice where feasible.

6.5 End of Life (EOL)

  • We reserve the right to discontinue Berri entirely with 90 days' notice.
  • Upon EOL announcement:
  • Your existing license remains valid for the current version.
  • You may continue using the current version indefinitely (subject to OS compatibility).
  • No refunds will be issued for discontinued products.

7. DATA AND PRIVACY

7.1 Local Data Storage

  • Berri stores most user data locally on your device in SQLite databases.
  • This includes clipboard history, notes, screenshots, file metadata, website sessions, and settings.
  • You are solely responsible for backing up your data. We do not provide automatic cloud backups by default.

7.2 Analytics and Telemetry

We collect pseudonymous usage analytics to improve Berri, including:

  • Feature usage statistics
  • Application performance metrics
  • Crash reports and error logs
  • Basic device information (OS version, hardware specs)

Default Setting:

Analytics are enabled by default during onboarding, with the option to opt out. You can disable analytics at any time in Settings → Privacy.

What we do NOT collect:

  • Personal identifiable information (PII) beyond your email address for license verification
  • Content of your notes, clipboard items, or files
  • Browsing history or website credentials

7.3 Privacy Policy

Our full data collection and privacy practices are detailed in our Privacy Policy, available at https://berri.in/privacy, which is incorporated into these Terms by reference.

By using Berri, you acknowledge and agree to our Privacy Policy.


8. THIRD-PARTY SERVICES

8.1 Integration Disclaimer

Berri integrates with and provides access to third-party websites and services, including but not limited to:

  • Google services (Gmail, Drive, Calendar, Meet, etc.)
  • ChatGPT and OpenAI services
  • Social media platforms
  • Productivity and collaboration tools
  • Any website accessible through Berri's browser features

Important:

  • We do not operate, control, or endorse these third-party services.
  • We are not responsible for the availability, performance, content, or terms of third-party services.

8.2 Third-Party Terms of Service

  • You are solely responsible for complying with the terms of service, privacy policies, and acceptable use policies of all third-party services you access through Berri.
  • Any violation of third-party terms is your responsibility, not ours.

8.3 Service Changes and Availability

  • Third-party services may change, restrict access, or discontinue their APIs or services at any time.
  • We may disable or remove integrations with third-party services if:
  • The third party changes or terminates their API.
  • The third party prohibits or restricts our integration.
  • We determine the integration poses security or legal risks.

No Refunds:

  • We are not liable for third-party service outages, bans, changes, or discontinuations.
  • No refunds will be issued due to third-party service unavailability or changes.

8.4 User Responsibility

  • You are responsible for your own accounts, credentials, and data on third-party services.
  • Website sessions and cookies stored by Berri are your responsibility.
  • We do not have access to your third-party accounts or passwords.

9. INTELLECTUAL PROPERTY

9.1 Berri's Ownership

We (or our licensors) own all rights, title, and interest in and to the Berri Software, including:

  • All source code, object code, and software architecture
  • Design, user interface, and visual elements
  • Logos, trademarks, and brand assets
  • Documentation and support materials

Protected Works:

  • The "Berri" name and logo are trademarks owned by us.
  • Copyright 2025 Berri. All rights reserved.

9.2 User Content

You Own Your Data:

  • You retain all ownership rights to content you create, store, or process using Berri, including:
  • Notes, text, and documents
  • Clipboard items and history
  • Screenshots and images
  • Files and file metadata

Limited License to Us:

  • You grant us a limited, non-exclusive license to process your content solely for the purpose of providing Berri's features and services.
  • We do not claim ownership of your content.
  • We do not sell, share, or use your content for any purpose other than operating Berri.

9.3 Feedback and Suggestions

If you provide us with feedback, suggestions, bug reports, or feature ideas:

  • You grant us a perpetual, irrevocable, worldwide, royalty-free license to use, implement, and incorporate your feedback into Berri without compensation or attribution.
  • You waive any intellectual property claims to feedback you provide.

Why? This allows us to improve Berri based on user input without legal complications.

9.4 No License to Third Parties

Nothing in these Terms grants you any rights to third-party trademarks, logos, or intellectual property accessible through Berri.

9.5 Open-Source Components

Berri incorporates open-source software components, each subject to their own license terms. A list of open-source components and their respective licenses is available upon request to support@berri.in.

Your use of these open-source components is governed by their respective licenses, which may include permissive licenses (MIT, Apache 2.0, BSD) and other open-source licenses. Nothing in these Terms limits your rights under, or grants you rights that supersede, the terms of any applicable open-source license.


10. DISCLAIMERS AND LIMITATION OF LIABILITY

10.1 "AS IS" and "AS AVAILABLE" Disclaimer

BERRI IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that:

  • Berri will be error-free, uninterrupted, or secure.
  • Berri will be compatible with all hardware, software, or configurations.
  • Defects or bugs will be corrected.
  • Berri will meet your specific requirements or expectations.

To the maximum extent permitted by law, we disclaim all warranties, including but not limited to:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy, reliability, or completeness of data

10.2 Not for High-Risk Use

Berri is NOT designed, intended, or certified for use in:

  • Safety-critical environments (medical devices, life support systems, nuclear facilities)
  • Air traffic control or aviation systems
  • Military or defense applications
  • Any application where failure could result in death, personal injury, or severe property damage

You agree NOT to use Berri for any high-risk applications.

10.3 No Compliance Guarantees

We do not guarantee that using Berri will ensure compliance with:

  • Laws, regulations, or industry standards (e.g., GDPR, HIPAA, SOC 2)
  • Your employer's policies or internal security requirements
  • Third-party contractual obligations

You are solely responsible for determining whether Berri is appropriate for your compliance needs.

10.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Our total liability to you for any claims arising out of or related to these Terms or your use of Berri is limited to the amount you paid for your Berri license.

For free tier users, our total liability is limited to zero (0).

We are NOT liable for:

  • Data loss: Loss or corruption of clipboard history, notes, files, screenshots, or any other user data.
  • System damage: Damage to your hardware, software, or operating system.
  • Third-party issues: Outages, bans, or changes to third-party services.
  • Security incidents: Unauthorized access, data breaches, or vulnerabilities.
  • Lost productivity or revenue: Any financial losses, lost business opportunities, or lost profits.
  • Indirect or consequential damages: Including but not limited to loss of data, loss of profits, loss of business, or reputational harm.

Special, incidental, punitive, or exemplary damages are excluded to the maximum extent permitted by law.

Exceptions:

Nothing in these Terms excludes or limits Berri's liability where such exclusion or limitation would be unlawful, including liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any other liability that cannot be excluded or limited under applicable law

Consumer Rights:

If you are a consumer in a jurisdiction with mandatory consumer protection laws, you retain all statutory rights that cannot be waived by contract, and nothing in these Terms limits those rights.

10.5 Jurisdictional Variations

Some jurisdictions do not allow the exclusion or limitation of implied warranties or liability for incidental or consequential damages.

If such laws apply to you:

  • The above exclusions and limitations will apply to the maximum extent permitted by applicable law.
  • Our liability will be limited to the fullest extent allowed in your jurisdiction.

10.6 Indemnification

You agree to indemnify, defend, and hold harmless Berri and its affiliates, officers, agents, and employees from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of Berri
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of any third-party rights, including intellectual property, privacy, or other rights
  • Content you create, store, or transmit using Berri
  • Any dispute between you and a third party arising from your use of Berri

Exceptions:

This indemnification obligation does not apply to claims arising solely from Berri's gross negligence, willful misconduct, or fraud.

Procedure:

We will promptly notify you of any claim subject to indemnification and provide reasonable cooperation (at your expense) in the defense of such claim. We reserve the right to assume exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense.

10.7 Acknowledgment

BY USING BERRI, YOU ACKNOWLEDGE AND AGREE THAT:

  • You use Berri at your own risk.
  • You are solely responsible for backing up your data.
  • We are not liable for any damages arising from your use of Berri.

11. TERMINATION

11.1 Termination by You

Free Tier:

  • You may stop using Berri at any time by uninstalling the Software.
  • No refund applies as no payment was made.

Lifetime Tier:

  • You may terminate your license at any time by:
  • Uninstalling Berri from all your devices.
  • Deleting all copies of Berri in your possession.
  • Ceasing all use of the Software.

If you terminate within 14 days of purchase, you may be eligible for a refund under Section 4.2 (14-Day Refund Policy). After 14 days, termination does not entitle you to any refund of license fees, except where required by applicable law.

11.2 Termination by Us

We reserve the right to suspend or revoke your license immediately if:

  • You violate any provision of these Terms.
  • You engage in fraudulent, abusive, or illegal activity.
  • Your payment is disputed, charged back, or reversed.
  • We determine, in our sole discretion, that your use poses a security or legal risk.

Notice:

  • We will attempt to provide notice of termination via email where feasible.
  • In cases of serious violations (fraud, abuse, illegal activity), termination may be immediate without notice.

11.3 Effect of Termination

Upon termination of your license for any reason:

  • Your right to use Berri immediately ceases (for lifetime tier) or reverts to free tier functionality.
  • You must uninstall Berri and delete all copies from your devices (if lifetime license is terminated for breach).
  • Your license key may be deactivated and cannot be reactivated.
  • No refund will be issued except:
  • Where you are eligible under Section 4.2 (14-Day Refund Policy); or
  • Where a refund is required by applicable law.

11.4 Survival

The following sections survive termination:

  • Section 9 (Intellectual Property)
  • Section 10 (Disclaimers, Limitation of Liability, and Indemnification)
  • Section 12 (Dispute Resolution)
  • Section 14 (Miscellaneous)

12. DISPUTE RESOLUTION

12.1 Governing Law

General:

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any legal action or proceeding arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.

Consumer Rights (EU/EEA/UK):

If you are a consumer resident in the European Union, European Economic Area, or United Kingdom, nothing in these Terms (including the governing law, jurisdiction, and arbitration provisions in Section 12.2) limits any mandatory consumer rights you have under applicable law, including the right to bring legal proceedings in the courts of your country of residence.

12.2 Binding Arbitration (Where Permitted by Law)

To the maximum extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or your use of Berri shall be resolved through binding arbitration rather than in court.

Arbitration Terms:

  • Arbitration shall be conducted in New Delhi, India under the rules of Indian Council of Arbitration (ICA).
  • The arbitration shall be conducted by a single arbitrator mutually agreed upon by both parties.
  • The arbitration shall be conducted in English.
  • The arbitrator's decision shall be final and binding.
  • Each party shall bear its own costs and fees, unless the arbitrator determines otherwise.

Exceptions:

  • Either party may bring a claim in small claims court if the claim qualifies (typically under $10,000 USD or local equivalent).
  • We may seek injunctive or equitable relief in court to protect our intellectual property rights.

12.3 Class Action Waiver

To the maximum extent permitted by law, you agree to resolve disputes with us on an individual basis only.

You waive your right to:

  • Participate in class-action lawsuits.
  • Join collective or representative actions.
  • Consolidate your dispute with claims of other users.

All disputes must be resolved individually.

12.4 Opt-Out (Where Applicable)

If you do not wish to be bound by the arbitration clause, you may opt out by sending written notice to support@berri.in within 30 days of first using Berri.

Your opt-out notice must include:

  • Your full name
  • Email address used for your Berri account
  • Statement: "I opt out of the arbitration clause in Berri's Terms and Conditions."

EU/EEA/UK Residents:

If you are a consumer in the EU, EEA, or UK, the arbitration and class action waiver provisions in this Section 12.2 do not apply to you unless you explicitly agree to arbitration in writing after a dispute arises. You retain the right to bring claims in your local courts and to participate in class actions where permitted by law.

12.5 Severability

If any part of this arbitration or class-action waiver provision is found to be unenforceable in your jurisdiction:

  • That provision shall be severed.
  • The remainder of these Terms shall remain in full force and effect.
  • Disputes shall be resolved in the courts of New Delhi, India as specified in Section 12.1.

13. CHANGES TO TERMS

13.1 Right to Modify

We reserve the right to modify, update, or replace these Terms at any time, at our sole discretion.

Reasons for changes may include:

  • Legal or regulatory requirements
  • New features or services
  • Security or safety improvements
  • Clarifications or corrections

13.2 Notification of Changes

When we make material changes to these Terms, we will notify you by:

  • Posting the updated Terms at https://berri.in/terms.
  • Updating the "Last Updated" date at the top of this document.
  • Sending an email notification to the address associated with your account (for significant changes).
  • Displaying an in-app notification (for significant changes).

13.3 Acceptance of Changes

Your continued use of Berri after changes are posted constitutes your acceptance of the updated Terms.

If you do not agree to the updated Terms:

  • You must stop using Berri immediately.
  • You may have rights or remedies under applicable consumer protection law; nothing in these Terms limits any mandatory rights you have under the laws of your country of residence.

13.4 Protection for Lifetime License Holders

Material changes to these Terms will NOT:

  • Retroactively revoke the core license you purchased.
  • Remove your right to use the version of Berri you purchased.

Exceptions:

  • Changes required to comply with applicable law, court orders, or regulatory requirements.
  • Changes necessary to address security vulnerabilities or protect user safety.
  • Changes to third-party service integrations due to provider requirements.

14. MISCELLANEOUS

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding your use of Berri.

These Terms supersede all prior or contemporaneous communications, proposals, or agreements (whether oral or written) between you and us.

14.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction:

  • That provision shall be modified to the minimum extent necessary to make it enforceable.
  • If modification is not possible, that provision shall be severed.
  • The remaining provisions shall remain in full force and effect.

14.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

14.4 Assignment

You may NOT assign or transfer your rights or obligations under these Terms to any third party without our prior written consent.

We may assign or transfer these Terms and all associated rights and obligations:

  • In connection with a merger, acquisition, reorganization, or sale of substantially all of our assets.

14.5 Force Majeure

We are not liable for any failure or delay in performance due to events beyond our reasonable control, including but not limited to:

  • Natural disasters (earthquakes, floods, hurricanes)
  • War, terrorism, or civil unrest
  • Government actions or regulations
  • Pandemics or public health emergencies
  • Internet outages or infrastructure failures
  • Acts of God

14.6 Independent Contractors

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and us.

You are an independent user of Berri, and we are not your employer, partner, or agent.

14.7 No Third-Party Beneficiaries

These Terms are for the sole benefit of you and us. No third party has any right to enforce or benefit from these Terms.

14.8 Export Compliance

You agree to comply with all applicable export control laws and regulations.

You may not export, re-export, or transfer Berri to:

  • Prohibited countries or regions.
  • Individuals or entities on government restricted parties lists.
  • For prohibited end uses (e.g., weapons development).

14.9 U.S. Government Rights

If you are a U.S. government entity, Berri is provided as "commercial computer software" subject to standard commercial license terms.

BY INSTALLING, ACCESSING, OR USING BERRI, YOU ACKNOWLEDGE THAT:

You agree to be bound by these Terms and our Privacy Policy.

You have the legal authority and capacity to enter into this agreement.

You understand that Berri is provided "as is" without warranties.

You accept the limitations of liability and disclaimers outlined in Section 10.

You agree to resolve disputes through arbitration where permitted by law (Section 12).

You understand that Berri operates on a freemium model with free and lifetime tiers.

If you do not agree to these Terms, do not use Berri.
